Terms of Service

1. Acceptance of Terms

STRATA (the "Service") is an online educational platform and question bank operated by Vault Software LLC ("Vault," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Eligibility

By using the Service, you represent that:

• You are at least 18 years old (or the age of majority in your jurisdiction);
• You have the legal capacity and authority to enter into these Terms; and
• If you are using the Service on behalf of a program, institution, or organization, you have authority to bind that entity to these Terms.

3. Accounts and Security

When you create an account, you must provide accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials;
• All activity that occurs under your account, whether or not you authorized it; and
• Promptly notifying us of any unauthorized access to or use of your account.

4. Subscriptions, Payments, and Renewals

4.1 Subscription Access

Some parts of the Service are available only with a paid subscription. By purchasing access, you authorize Vault and our payment processor to charge the applicable fees to your selected payment method.

4.2 Individual Memberships (No Automatic Renewal)

Individual subscriptions purchased directly by users do not renew automatically. Access is provided for the specified subscription period only. Your payment method will not be charged again unless you explicitly choose to purchase additional access.

4.3 Program and Institutional Licenses

Subscriptions provided through programs, schools, or other institutions may be billed on a recurring basis, typically annually, in accordance with the applicable institutional agreement. Program administrators are responsible for managing renewals, billing terms, and user access under institutional licenses.

4.4 Pricing and Changes

We may change pricing or subscription features from time to time. Changes apply prospectively only. Pricing in effect at the time of purchase applies solely to the applicable subscription period.

4.5 Refunds

Unless otherwise stated in writing or required by law, all fees are non-refundable.

5. Permitted Use of the Service

Subject to these Terms and any applicable subscription restrictions, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your own personal, non-commercial educational purposes, or for internal educational evaluation by an institution.

You agree not to:

• Copy, scrape, download, or systematically export questions, answers, explanations, or other content;
• Share your login credentials or allow others to access your account;
• Reverse engineer, decompile, or attempt to gain unauthorized access to the Service;
• Use the Service in violation of applicable law, exam rules, or academic integrity policies; or
• Use or distribute our content in any competing product or service.

6. Educational Use Only – No Medical Advice

The Service is provided solely for educational and exam-preparation purposes. It does not provide medical advice, diagnosis, or treatment, and is not a substitute for professional clinical judgment.

Users must always follow applicable standards of care, institutional policies, local guidelines, and the directions of supervising clinicians. Never disregard professional medical guidance because of information obtained through the Service.

7. No Affiliation or Endorsement

STRATA and Vault Software LLC are not affiliated with, endorsed by, or sponsored by any medical licensing board, certifying body, examination authority, hospital system, or professional organization. All trademarks and exam names referenced are the property of their respective owners.

8. Intellectual Property

The Service, including all questions, explanations, analytics, text, graphics, logos, software, and other content, is owned by Vault Software LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Except as expressly permitted by these Terms, you may not reproduce, distribute, modify, publicly display, or create derivative works based on any part of the Service without our prior written consent.

9. Program and Director Dashboards

If you access or manage cohort analytics (for example, as a program director or faculty member), you agree to:

• Use learner data solely for legitimate educational purposes;
• Comply with applicable privacy laws and institutional policies; and
• Not disclose individualized learner performance outside your institution without proper authorization.

For users accessing the Service through institutional licenses, institutions may access learner analytics and progress data consistent with the Service's features and our Privacy Policy.

10. Third-Party Services

We may use third-party services (such as payment processors, hosting providers, or analytics tools) to operate the Service. Your use of such services may be subject to their own terms and privacy policies. We are not responsible for third-party services outside our control.

11. Suspension and Termination

We may suspend or terminate access to the Service, with or without notice, if we reasonably believe a user has violated these Terms, engaged in misuse, or created legal or security risk.

Upon termination, access to the Service will immediately cease. Sections relating to intellectual property, disclaimers, limitations of liability, and dispute resolution will survive termination.

12. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that:

• Content is error-free or perfectly aligned with every exam blueprint;
• Any specific exam outcome will be achieved; or
• The Service will be uninterrupted or free of technical issues.

13. Limitation of Liability

To the maximum extent permitted by law, Vault Software LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of the Service.

Our total liability for any claim will not exceed the amount paid by you for the Service in the twelve (12) months preceding the event giving rise to the claim, or $100 USD, whichever is greater.

14. Arbitration and Class Action Waiver

Any dispute arising out of or relating to these Terms or the Service will be resolved through binding individual arbitration, rather than in court. You agree to waive any right to participate in a class action, class arbitration, or representative proceeding.

This arbitration agreement survives termination of your account.

15. Governing Law

These Terms are governed by the laws of the jurisdiction in which Vault Software LLC is organized, without regard to conflict-of-law principles.
